Terms and Conditions

ITeamUP: the online platform connecting Visionaries and Creators.

User: any individual or legal entity using the platform.

Visionary: a user who creates Project Cards.

Creator: a user who offers skills and discovers projects.

Project Card: a project proposal created by a Visionary.

Workspace: a private collaboration environment created after a successful match.

Operator: Software and People Consulting, the operator of the ITeamUP platform.

These Terms and Conditions apply to all use of the ITeamUP platform.

By registering or using the platform, the user agrees to these Terms.

ITeamUP solely facilitates connections between users.

ITeamUP:

• is not an employer;
• is not a recruitment agency;
• is not a contracting party between users;
• does not guarantee successful collaborations.

Users remain solely responsible for any agreements they make with one another.

Users must:

• provide accurate information;
• keep login credentials confidential;
• be at least 18 years old.

Users are responsible for all activities performed under their account unless caused by a security breach attributable to ITeamUP.

ITeamUP reserves the right to refuse, suspend, or remove accounts.

Users retain ownership of:

• ideas;
• documents;
• designs;
• project descriptions;
• uploaded content.

By uploading content, users grant only the rights necessary for operating the platform.

ITeamUP does not claim ownership of user content.

ITeamUP reserves the right to remove content that violates these Terms, applicable laws, or platform policies.

Users are responsible for protecting their own intellectual property rights.

ITeamUP provides no guarantees regarding:

• patents;
• copyrights;
• trademarks;
• trade secrets.

ITeamUP does not provide legal protection for ideas, inventions, business concepts, trade secrets, or other intellectual property.

Users are responsible for entering into NDAs, collaboration agreements, assignment agreements, or other legal arrangements where appropriate.

Users should seek professional legal advice where appropriate.

ITeamUP is not a party to:

• agreements;
• collaborations;
• payments;
• deliveries;
• intellectual property arrangements.

ITeamUP does not verify, guarantee, supervise, enforce, or mediate agreements between users.

All arrangements between users are their sole responsibility.

Users may not:

• provide false information;
• infringe intellectual property rights;
• distribute malware;
• harass other users;
• organize illegal activities;
• disclose confidential information belonging to others.

ITeamUP may restrict or terminate accounts without prior notice if:

• these Terms are violated;
• platform security is endangered;
• fraud or misuse is detected.

To the maximum extent permitted by law, ITeamUP shall not be liable for:

• data loss;
• unsuccessful collaborations;
• missed opportunities;
• indirect damages;
• disputes between users.

ITeamUP does not warrant that:

• the platform will be uninterrupted;
• the platform will be error-free;
• any match will result in a successful collaboration;
• any user information is accurate or complete.

The platform is provided on an "as is" and "as available" basis.

In no event shall ITeamUP's total liability exceed the amount paid by the user to ITeamUP during the twelve (12) months preceding the claim.

If no fees were paid by the user, ITeamUP's total liability shall be limited to EUR 100.

ITeamUP shall not be liable for delays or failures resulting from events beyond its reasonable control, including internet outages, cyberattacks, natural disasters, governmental actions, or third-party service interruptions.

Personal data processing is governed by the ITeamUP Privacy Policy.

Use of the platform is also subject to:

• Privacy Policy
• Cookie Policy
• Acceptable Use Policy
• Collaboration & Intellectual Property Disclaimer

ITeamUP may modify these Terms at any time.

The latest version will always be published on the website.

These Terms shall be governed by the laws of the Netherlands.

Any disputes shall be submitted to the competent courts in the Netherlands.
